1. Agreement to Terms

By accessing or using Certiphy (certiphy.app), operated by Elox Tech Private Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

2. Description of Service

Certiphy is a cloud-based Software-as-a-Service (SaaS) platform providing digital eLogbook management, SOP document control, and compliance tools for pharmaceutical and regulated industries. The platform includes features such as form building, daily log entries, electronic signatures, audit trails, and document management.

3. Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years old to use this service

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the platform's infrastructure
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble any part of the platform
• Resell or redistribute access to the platform without authorization
• Use the platform to store or process data in violation of applicable laws

5. Data Ownership

You retain all ownership rights to the content and data you create, upload, or store on the platform ("Customer Data"). We do not claim ownership of your Customer Data. We only access your data as necessary to provide the service, maintain security, or comply with legal obligations.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

7. Electronic Signatures & Compliance

The platform provides electronic signature functionality intended to support compliance with regulatory requirements. However:

• You are solely responsible for ensuring your use of the platform meets your specific regulatory requirements (including but not limited to 21 CFR Part 11, EU GMP Annex 11, WHO guidelines)
• We provide the tools; you are responsible for validation, qualification, and compliance within your organization
• We do not provide regulatory consulting or legal advice

8. Payment Terms

• Subscription fees are billed monthly or annually as per your chosen plan
• All fees are non-refundable unless otherwise stated
• We reserve the right to modify pricing with 30 days advance notice
• Failure to pay may result in suspension or termination of access
• All applicable taxes are your responsibility

9. Termination

Either party may terminate the agreement:

• You may cancel your subscription at any time through your account settings
• We may suspend or terminate your account for violation of these terms
• Upon termination, we will provide a data export within 30 days upon request
• Your data will be deleted within 90 days of termination unless retention is required by law

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The platform is provided "as is" without warranties of any kind, express or implied
• We do not warrant that the platform will meet your specific regulatory requirements
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for any loss of data, revenue, or business opportunities

11. Indemnification

You agree to indemnify and hold harmless Elox Tech Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, violation of these terms, or infringement of any third-party rights.

12. Intellectual Property

The Certiphy platform, including its design, code, features, documentation, and branding, is the intellectual property of Elox Tech Private Limited. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose during your active subscription.

13. Governing Law & Disputes

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. We encourage resolving disputes through good-faith negotiation before pursuing legal action.

14. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
